# Verkoopprocedure

## Verkoopprocedure

Er komt heel wat te kijken bij de verkoopprocedure. De verkoop van een onderneming wordt niet van vandaag op morgen afgehandeld, het is dan ook belangrijk om dit niet te 'rushen' en de nodige tijd en energie hiervoor te voorzien. 

De verkoopprocedure bij een KMO ondergaat een aantal stappen: 

### Precontractuele fase

1. Voer de nodige voorbereidingswerken uit en bereid alle informatieve documenten voor
2. Beslis of je voor een asset deal of share deal wil gaan
3. Zoek een gepaste of potentiële koper/overnemer 
4. Laat een geheimhoudingsovereenkomst (NDA) ondertekenen 
5. Ga de nodige gesprekken voor een mogelijke overname & onderhandel
6. Stel een letter of intent (LOI) op en laat deze ondertekenen
7. De koper zal een grondige due dilligence uitvoeren 

### Contractuele fase

1. Stel een overnamecontract op en laat deze ondertekenen 
2. Rond de verkoop en de financiële afwikkeling definitief af (closing)

Het is belangrijk op te merken dat deze stappen algemeen zijn en dat de specifieke procedure kan variëren afhankelijk van de complexiteit van de transactie en de specifieke omstandigheden van de betrokken partijen.

### Overnamefinanciering

De overnemer dient ook rekening te houden met de financiering van de overname. Hou rekening met een krediettermijn van 5 tot 7 jaar.
